Terms of Service
Effective date: October 10, 2026 | Last updated: October 16, 2026
These Terms of Service (the "Terms") form a binding agreement between you and LUVENTO LIMITED ("MioSoul", "we", "us", "our").
1. The agreement and the Services
1.1 By creating an account, accessing or using the Services, or clicking to accept, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
1.2 "Services" means, whether existing now or introduced at any time in the future: our websites; our mobile, desktop, web and other client applications; our APIs, SDKs, software and cloud services; and all AI characters, models, features, content, digital goods, memberships and other products and services we offer under the MioSoul brand or any other brand owned or controlled by us or our affiliates.
1.3 We may at any time add, modify, suspend, limit, re-price, re-brand, migrate or discontinue any part of the Services, in whole or in part, with or without notice. If we discontinue a paid Service in a way that materially deprives you of a subscription you have already paid for, your sole remedy is a pro-rata refund of the unused portion.
1.4 Parts of the Services may be subject to additional terms, guidelines or policies, which are incorporated by reference and control for that part of the Services in the event of conflict.
2. Eligibility
2.1 You must be at least 18 years old, and at least the age of majority where you live, whichever is higher. You represent that you meet these requirements.
2.2 We do not knowingly permit anyone under 18 to use the Services. If we believe an account holder is under 18, we may suspend or terminate the account and delete its content. You must not let a minor access the Services through your account or device.
3. About the Services — important disclosures
3.1 Not real people. The characters, companions, voices, images and messages you encounter are generated by artificial intelligence and are not real people. Any statement by an AI character that it is human, that it has feelings for you, or that it holds any qualification or status, is fiction generated by software and must not be relied upon.
3.2 Outputs may be wrong or unsuitable. Content generated through the Services ("Output") may be inaccurate, incomplete, biased, offensive, upsetting, inconsistent or inappropriate, notwithstanding any filters or safety systems we apply, which can be circumvented and can fail. You must evaluate Output independently and use it at your own risk.
3.3 Not professional advice. The Services are not a medical device and Output is not medical, mental health, psychological, therapeutic, crisis-intervention, legal, financial or other professional advice. No professional relationship is created. Never disregard or delay professional advice because of Output.
3.4 Not an emergency service. The Services cannot summon help. If you are in crisis, thinking of harming yourself or anyone else, or facing a medical or safety emergency, stop using the Services and contact your local emergency number or a crisis helpline immediately.
3.5 Emotional reliance. The Services are designed to be engaging. Some people develop strong attachment to or dependence on AI companions, which can affect mood, sleep, relationships, finances and daily functioning. You acknowledge this risk, agree to use the Services responsibly, and agree to seek qualified support if your use causes you distress or difficulty.
3.6 No continuity guarantee. Characters, memories, conversation history, voices, appearances and relationship states may change, reset, degrade or become unavailable as a result of model upgrades, safety or legal requirements, technical limits or product decisions.
4. Your account
You must provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us at [email protected] if you suspect unauthorised access. Your account, subscription, virtual items and characters are personal to you and may not be sold, shared or transferred.
You may register or sign in using Apple, Google or another supported third-party provider. Your use of the Services remains governed by these Terms; your relationship with that provider is governed by its own terms. Whether an existing account can be linked to a third-party sign-in, and whether accounts can be merged or entitlements carried across, depends on the functionality we make available at the time, and signing in by different methods may create separate accounts which we are not obliged to merge. Withdrawing your authorisation with a provider may prevent you signing in that way but does not by itself close your account or delete your data.
5. Payments, subscriptions and virtual items
5.1 We may offer subscriptions, one-off purchases, virtual items and currency and other paid offerings. Prices, packaging and availability are as displayed at purchase and may differ by region, platform, currency, cohort and promotion, and may change over time. Price changes do not affect a term you have already paid for.
5.2 Automatic renewal. Subscriptions renew automatically. Unless you cancel before the end of the current billing period, your subscription renews for successive periods of the same length and your payment method is charged the then-current price plus tax, at or shortly before the start of each renewal period, until cancelled. Billing period, price and renewal terms are disclosed at purchase. A free trial converts into a paid, auto-renewing subscription at the end of the trial unless you cancel first.
5.3 Cancelling. For purchases through the Apple App Store or Google Play, cancel in your Apple or Google subscription settings — we cannot cancel or refund these for you. For purchases made directly from us, cancel in your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current period.
5.4 Refunds. Except where required by applicable law or by the rules of the app store or payment provider you purchased through, all fees are non-refundable and all sales are final, including for partial periods and unused virtual items.
5.5 Virtual items. Virtual items and in-app currency are licensed, not sold, have no monetary value, are not property or a stored-value instrument, and cannot be redeemed for cash or transferred except where we expressly enable it. We may change, re-price, devalue, expire or eliminate them at any time. Unless applicable law requires otherwise, they are forfeited without compensation on termination of your account or discontinuation of the relevant Service.
5.6 Billing. You authorise us and our payment processors to charge your payment method for all amounts due, including recurring charges, and to store and update your payment credentials. Prices exclude taxes unless stated; you are responsible for them. If a payment fails, is reversed or is charged back, we may retry it, suspend or terminate access, revoke entitlements, and recover amounts owed. We may refuse or cancel any transaction we reasonably believe is fraudulent, abusive or contrary to law or payment network rules.
6. Your content and the licence you grant us
6.1 "Your Content" means anything you submit, upload, input, generate through or configure on the Services, including messages, prompts, voice, images, video, files, character designs, personas, memories, settings and feedback. As between you and us, you retain any ownership rights you have in Your Content.
6.2 Your promises. You represent that you own or have all rights necessary to grant these licences and that Your Content, and our use of it under these Terms, will not infringe any third-party right or any law. You must not upload another person's photograph, face, voice, name or likeness to create or drive a character without that person's valid, documented consent, and never in relation to a minor or in a sexual or intimate context without express consent for that use.
6.3 No storage obligation. We are not a backup service. We may impose storage, retention, memory and rate limits and may delete, truncate, summarise or refuse to store Your Content at any time, including for inactive accounts. Keep your own copies of anything you want to keep.
6.4 Feedback. Any suggestions or feedback you send us may be used and commercialised by us for any purpose, perpetually and without obligation of confidentiality, attribution or compensation.
7. Output
7.1 Subject to your compliance with these Terms and to Section 7.2, and to the extent we hold assignable rights in Output generated for you, we assign those rights to you so that you may use that Output for personal and, where your plan permits, commercial purposes; to the extent they cannot be assigned, we grant you a worldwide, non-exclusive, royalty-free licence for those purposes.
7.2 This gives you no rights in the Services, our models, weights, prompts, system instructions, software or brand assets; in any AI character, persona, voice, avatar or artwork that we, our licensors or other users own; or in third-party content within Output. Output may not be unique — other users may receive identical or similar Output — and we make no representation that Output is original, non-infringing or protectable in any jurisdiction. If you publish or commercially exploit Output, you are responsible for reviewing it, for its lawfulness, and for any AI-disclosure or labelling obligation that applies.
8. Acceptable use
8.1 You must not use the Services, or generate, request, upload, store or share any content, to do or attempt any of the following:
(a) Child safety — zero tolerance. Any content that sexualises, exploits or endangers a minor, or that depicts, describes, requests or simulates a minor — real or fictional, including any character presented, described, styled or implied as under 18 — in a sexual, romantic, suggestive or abusive context; any age-play or equivalent framing; any grooming or solicitation of a minor; any child sexual abuse material. We report suspected child sexual exploitation to law enforcement and the appropriate authorities and hotlines, and preserve and disclose related account data and content as required or permitted by law.
(b) Real people and non-consensual intimate content. Depicting, cloning or impersonating an identifiable real person without their valid consent; any sexual, intimate or nude depiction of a real person without express consent for that use; non-consensual intimate imagery, sextortion, or deepfakes intended to deceive, defame, harass or defraud.
(c) Violence and serious harm. Inciting, threatening, glorifying or facilitating terrorism, violent extremism, mass violence, trafficking or serious physical harm; instructions for weapons or chemical, biological, radiological or nuclear agents; promoting or instructing self-harm, suicide or disordered eating; depicting bestiality, incest or non-consensual sexual violence as real.
(d) Illegal activity, harassment and hate. Any activity that violates applicable law, including fraud, scams, money laundering, unlawful gambling, and trade in illegal drugs, weapons or counterfeit goods; harassing, bullying, stalking, doxxing or threatening any person; content that attacks, dehumanises or incites hatred or violence against people on the basis of any protected characteristic.
(e) Infringement and deception. Infringing any intellectual property, publicity or privacy right; spam, bulk or unsolicited messaging, coordinated inauthentic behaviour, political manipulation, or generating misinformation about health, safety or civic processes.
(f) Platform and technical abuse. Reverse engineering or attempting to discover source code, model weights, training data or system prompts (except where this restriction is unenforceable under applicable law); circumventing or defeating any filter, guardrail, safety system, rate limit, paywall, age gate or region gate, including through jailbreak prompts or prompt injection; scraping or bulk-extracting content or data; using the Services or Output to build, train or improve any competing AI model, product or dataset; using bots, automation or unauthorised clients; introducing malware; interfering with or probing the Services; accessing accounts or data that are not yours; reselling or sublicensing the Services; removing proprietary notices.
(g) Regulated and high-risk uses. Using the Services or Output as, or in, a medical device, a diagnostic or treatment tool, an emergency service, or any decision with legal or similarly significant effects on a person (including employment, credit, housing, insurance, education, immigration, benefits or law enforcement), or any application where failure could cause death, injury or severe property or environmental harm.
8.2 Every character you create, configure or interact with must be, and must be clearly presented as, an adult. You must not use fictional framing to evade this Section.
8.3 This Section is illustrative, not exhaustive. We may publish more detailed guidelines and prohibit further conduct at our discretion, including where required by law, app stores, payment networks or other partners.
9. Moderation and enforcement
9.1 If we determine in our reasonable judgement that you have breached these Terms or applicable law, or that your conduct creates risk or legal exposure, we may take any action we consider appropriate, including warning you, removing or restricting content, limiting or disabling features, suspending or terminating your account and related accounts, revoking virtual items and entitlements without refund, blocking your devices or payment methods, and reporting you to authorities. Where feasible and required by applicable law, we will give notice, a statement of reasons and an opportunity to appeal at [email protected]. We may act immediately and without notice where there is a risk of imminent harm, child sexual exploitation, or serious legal or security risk.
9.2 Report violations to [email protected] or through the in-product tools.
10. Intellectual property
10.1 The Services and all software, models, weights, algorithms, prompts, designs, characters, voices and other materials in them, and all intellectual property rights in them, remain the exclusive property of LUVENTO LIMITED, our affiliates and our licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to use the Services for your own lawful personal use (and internal business use where your plan permits). "MioSoul", "LUVENTO" and our logos and product names may not be used without our written permission.
10.2 IP complaints. If you believe content on the Services infringes your copyright or trademark, email [email protected] (subject: "IP Notice") with: your signature; identification of the work or mark; identification and location of the material claimed to be infringing; your contact details; a statement of good-faith belief that the use is unauthorised; and a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorised to act for them. We may forward your notice to the person who supplied the material. Knowingly making a material misrepresentation may expose you to liability. If your content was removed in error you may send a counter-notice to the same address with the information applicable law requires. We may terminate repeat infringers.
11. Third parties and app stores
11.1 The Services may link to or be delivered through third-party websites, platforms, model providers, payment processors, advertising and analytics providers, carriers, app stores and devices. We do not control and are not responsible for them, their content or their terms and privacy practices.
11.2 Apple. If you obtained an application through the Apple App Store: these Terms are between you and us only, not Apple; Apple has no maintenance or support obligation; if the application fails to conform to any applicable warranty you may notify Apple, which may refund the purchase price and has no other warranty obligation; Apple is not responsible for any claim relating to the application, including product liability, regulatory or consumer protection claims, or third-party intellectual property claims; you represent that you are not in a country subject to a U.S. Government embargo or designated as "terrorist supporting" and are not on any U.S. Government restricted-party list; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Where you obtain the Services through Google Play or another distributor, that distributor's terms also apply and the distributor is not a party to these Terms.
11.3 The Services may include open source components licensed under their own terms, which prevail for those components.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Services you acknowledge that Your Content, including intimate, emotional and health-adjacent information you choose to share, will be processed as described there. Please do not share information you would not want processed as described, including government identifiers, payment card numbers in free text, or another person's sensitive information.
13. Disclaimers
13.1 THE SERVICES, INCLUDING ALL CONTENT AND OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, we, our affiliates and our licensors disclaim all warranties, conditions and terms, express, implied or statutory, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment. We do not warrant that the Services will be uninterrupted, secure or error-free; that defects will be corrected; that Output will be accurate, appropriate, safe, original or non-infringing; that any content, character, memory or conversation will be preserved or retrievable; or that safety filters will prevent all objectionable content.
13.2 If you are a consumer, nothing in these Terms excludes or limits any right or remedy you have under mandatory consumer protection law that cannot lawfully be excluded, and this Section applies only to the extent permitted by that law.
14. Termination
14.1 You may stop using the Services and close your account at any time in your account settings or by emailing [email protected]. Closing your account does not entitle you to a refund except as required by law or Section 5.
14.2 We may suspend, limit or terminate your access or account at any time: for breach or suspected breach of these Terms or applicable law; to protect users, third parties, the public or us; where required by law, an app store, a payment network or another partner; for extended inactivity; if we discontinue the Services, your region or your plan; or for convenience on reasonable notice where you have no active paid subscription, or, where you do, at the end of your current paid period or earlier with a pro-rata refund of the unused portion.
14.3 On termination your licence ends immediately and we may delete or de-identify your account, Your Content and your virtual items, subject to our Privacy Policy, our legitimate retention needs and applicable law. Back up anything you want to keep.
14.4 Sections 1.2, 3, 5.5, 5.6, 6.2, 6.3, 6.4, 7, 8, 9, 10, 11.2, 13, 14.3, 14.4, 15, 16 and 17 survive termination, together with any provision that by its nature should survive.
15. Dispute resolution
15.1 Meaning of "Dispute"; informal resolution. "Dispute" means any dispute, claim or controversy between you and us (including our affiliates and our respective officers, directors, employees, agents and suppliers) arising out of or relating in any way to these Terms, the Privacy Policy, the Services, any MioSoul product however acquired, or your relationship or interactions with us — including claims about advertising, pricing or promotions; orders, billing, subscriptions, virtual items or automatic renewals; warranty, returns or refunds; product quality, safety or performance; AI characters, models, Output or content moderation; personal data and privacy, including cookies and other tracking technologies and data security incidents; the accessibility of the Services; your account; messages sent to you by us or on our behalf, by any means; and the scope, validity, enforceability or arbitrability of this Section 15 — whatever the legal theory, and whenever it arose, including before you accepted these Terms or after they end. Before commencing any formal proceeding, you agree to contact [email protected] with a written description of the Dispute, the relief sought and your account details, and the parties will attempt in good faith to resolve it for at least thirty (30) days. This is a condition precedent to arbitration or litigation, other than an individual small-claims action or an application for urgent injunctive relief.
15.2 Governing law. These Terms and any Dispute are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong"), without regard to its conflict of laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country where you habitually reside.
15.3 ARBITRATION; WAIVER OF CLASS, COLLECTIVE AND JURY PROCEEDINGS.
(a) Agreement to arbitrate. Any Dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat is Hong Kong; the tribunal will consist of a sole arbitrator appointed under those Rules unless HKIAC determines that three are warranted; the language is English; the law governing this arbitration agreement is Hong Kong law; proceedings and materials are confidential; and the award is final and binding and may be enforced in any court of competent jurisdiction.
(b) WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. EACH PARTY WAIVES ANY RIGHT TO A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, REPRESENTATIVE OR MASS PROCEEDING, AND ANY RIGHT TO A JURY TRIAL. The arbitrator may award relief only in favour of the individual party seeking it and only on that party's individual claims, and may not consolidate or join the claims of more than one person or preside over any representative or class proceeding, unless all affected parties agree in writing.
15.4 Time limit. To the maximum extent permitted by applicable law, any Dispute must be brought within one (1) year after it arises or is permanently barred. This does not apply where mandatory law, including consumer law, requires a longer period.
16. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give reasonable advance notice by posting the updated Terms with a new "Last updated" date and, where appropriate, by in-product notice or email. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree you must stop using the Services and may close your account; where required by law we will obtain your express consent or allow you to terminate and receive a pro-rata refund of prepaid, unused fees. Changes do not apply retroactively to a Dispute of which we had notice before the change.
17. General
17.1 These Terms, the Privacy Policy and any additional terms incorporated under Section 1.4 are the entire agreement between us regarding the Services and supersede all prior agreements on that subject.
17.2 If any provision is held invalid or unenforceable it will be modified to the minimum extent necessary to make it enforceable or, failing that, severed, and the remainder will stay in force. Our failure or delay in enforcing any provision is not a waiver.
17.3 Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent; any attempt is void. We may freely assign, novate or transfer these Terms, in whole or in part, including to an affiliate or in connection with a merger, acquisition, reorganisation, financing, change of control or sale of all or part of our business or assets.
17.4 No partnership, joint venture, employment, agency or fiduciary relationship is created. Except as stated in Section 11.2 (Apple) and in respect of our affiliates, officers, directors, employees, agents, suppliers and licensors under Section 13, there are no third-party beneficiaries.
17.5 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disaster, epidemic, war, terrorism, civil unrest, labour dispute, government action, sanctions, changes in law, power or internet failure, cyberattack, or failure of any third-party provider, model provider, payment processor, app store, hosting or telecommunications infrastructure.
17.6 Notices. We may notify you by email to the address on your account, by in-product message, or by posting on the Services. You must notify us at [email protected] or at such postal address as we may publish on the Services for that purpose. You consent to receiving communications electronically and agree that they satisfy any legal requirement of writing.
17.7 Language. These Terms are made in English. Any translation is for convenience only; in the event of inconsistency the English version prevails, except where applicable law requires otherwise.
17.8 Headings are for convenience only. "Including" means "including without limitation". References to a statute include its amendments and successors.
